These Terms of Service ("Terms") govern the use of CapitalReach. The provider is Operator detail missing ("we", "us" or the "provider").
1. Scope, customers, contract language
1.1 These Terms apply to every contract for the use of CapitalReach between us and the users of the platform, whether a free or a paid plan is used.
1.2 Users may be consumers (section 13 of the German Civil Code, BGB) or businesses (section 14 BGB). Provisions that apply only to consumers or only to businesses say so. Anyone using the platform for a company, a fund or a family office confirms that they are authorised to act for it.
1.3 A business's own terms apply only if we expressly agree to them in text form.
1.4 The contract languages are German and English. Both versions of these Terms are binding. Where they differ, the version more favourable to the consumer applies to consumers, and the German version applies to businesses. In the website's other languages we show the English version.
2. What CapitalReach is, and what it is not
2.1 CapitalReach is a software and communication platform: it does not receive or forward investment orders, it does not advise, and it does not hold money.
2.2 In particular, the platform offers:
- Startups: a profile with details of their funding round, a data room whose access the startup grants itself, and their own tools for preparing and managing their raise.
- Investors: a search of startups, a private watchlist with notes, and saved searches with alerts.
- Both sides: messages, introduction requests, a click-through confidentiality agreement before a data room opens, and the AI-assisted features in section 10.
2.3 We are not a party to any investment that users agree between themselves. We do not broker investments, give investment recommendations, assess whether an investment suits a particular user, or accept payments for shareholdings. Whether an investment is made, on what terms and by what route is decided by the users involved alone.
2.4 Information in profiles comes from the users themselves. Before a new startup profile goes live we check it only against the published checklist described in the Risk disclaimer. We do not check anything further, and in particular we do not check business figures.
2.5 We charge no fee on any funding round, neither to the startup nor to the investor, whether the round comes about on CapitalReach or anywhere else. We are paid only through the plans in section 5. For earlier versions of these Terms, see our waiver.
3. Who may use the platform
3.1 Users must be at least 18 years old and have full legal capacity.
3.2 Residence rule: the directories of startups and investors are open only to users whose residence or, for a business, registered seat is in a member state of the European Union, another state party to the Agreement on the European Economic Area, or Switzerland. Users state their state of residence or seat truthfully when they register and update it without delay when it changes. The service is not directed at persons outside these states.
3.3 Each person may hold one account only. Login details must be kept secret. Anyone who suspects misuse of their account tells us without delay: capitalreach.vercel.app/contact.
4. How the contract is made
4.1 The contract for free use is made when the user completes registration and we activate the account.
4.2 A user orders a paid plan on the order page. Before placing the order they see the plan, the total price including VAT, the term, the renewal, where applicable the end of a trial and the amount then due, and the cancellation terms, and they can correct their entries. Clicking the button "Subscribe and pay" ("Zahlungspflichtig abonnieren") makes a binding offer. The contract is made when we confirm the order, at the latest when the plan is activated.
4.3 After the contract is made we send the user the contract terms, including these Terms, by email. The current version of these Terms is available at capitalreach.vercel.app/terms.
5. Plans, prices, payment
5.1 The plans and their prices are on the pricing page. The price shown when the order is placed applies. All prices are final prices in euros, including VAT at the statutory rate.
5.2 Listing a startup is free. Investors need a paid plan to use the directory of startups. What a plan includes is set out on the pricing page at the time of the order.
5.3 The price for the chosen billing period (month or year) is payable in advance and is collected by our payment provider Stripe from the payment method given with the order.
5.4 Trial: investors can start a plan once per account with a free trial whose length is shown on the order page. The trial requires a payment method. Unless the user cancels before it ends, the chosen paid plan starts when the trial ends and its price is collected.
5.5 Founding price: the first paying subscribers on each side of the platform receive a founding price instead of the standard price while places are available. The number of places and the prices are on the pricing page; demo accounts do not count. The founding price applies while the subscription runs without interruption, including after a change to another plan on the same side, which then carries its own founding price. When the subscription ends, the founding price ends; a later new subscription is billed at the price then in force.
5.6 Existing members: members who completed their profile before September 20, 2026 receive the Pro plan (investors) or the Scale plan (startups) free of charge for the life of their account. This does not apply to demo accounts.
5.7 While paid plans cannot be ordered online, we may grant individual users a plan free of charge for a stated period. There is no entitlement to this. Such a grant ends when the stated period ends, without notice.
6. Term, renewal, cancellation
6.1 The contract for free use runs for an indefinite period. The user may terminate it at any time, including by deleting their account. We may terminate it with two weeks' notice.
6.2 Monthly plans run for one month and renew for a further month each time unless cancelled before the month ends. They can be cancelled at any time to the end of the current month.
6.3 Annual plans run for an initial twelve months.
- For consumers: after the first twelve months the contract continues for an indefinite period unless cancelled before then. From then on the consumer may cancel it at any time with one month's notice. We refund, pro rata, any amount paid in advance for the time after the cancellation takes effect.
- For businesses: the contract renews for a further twelve months each time unless cancelled with one month's notice to the end of the current term.
6.4 Cancellation is possible in text form (for example by email to capitalreach.vercel.app/contact), in the account settings, or through the button Cancel contracts here ("Verträge hier kündigen"), which is in the footer of every page. We confirm receipt of a cancellation in text form without delay, with the date and time of receipt and the date on which the contract ends.
6.5 Either side's right to terminate for good cause is unaffected. Good cause for us exists in particular where a user breaches section 8 repeatedly or seriously despite a warning.
6.6 Where there is a well-founded suspicion of a breach of section 8, we may block content or temporarily restrict an account to the extent necessary to stop the breach. We tell the user concerned our reasons and take their response into account.
7. Right of withdrawal for consumers
Consumers have a right of withdrawal from contracts for paid plans, as follows.
Withdrawal instructions
Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract is concluded.
To exercise the right of withdrawal, you must inform us (Operator detail missing, email: Operator detail missing) of your decision to withdraw from this contract by an unequivocal statement (for example a letter sent by post or an email). You may use the attached model withdrawal form, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.
If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.
End of withdrawal instructions
7.1 Immediate start: on the order page, a consumer can expressly request that we begin the service before the withdrawal period ends. The plan is then available at once. The right of withdrawal remains; a consumer who withdraws owes, for the time until the withdrawal, the proportionate compensation for value under section 357a(2) BGB described in the instructions above. No compensation is owed for a free trial.
Model withdrawal form
(Complete and return this form only if you wish to withdraw from the contract.)

8. Users' obligations
8.1 Users give only true, complete and not misleading information in profiles, messages and documents, and keep it up to date. A startup corrects an outdated figure as soon as it becomes aware of it.
8.2 Startups are themselves responsible for offering their funding round lawfully, in particular for complying with the rules on prospectuses and investment information sheets. CapitalReach is neither the offeror nor the issuer of any investment.
8.3 In particular, users must not:
- ask for or accept, through the platform, payments for shareholdings that are to flow to us or through us;
- harass other users, send them unsolicited advertising or deceive them, in particular by advance-fee fraud or by asking for payment outside the usual payment channels;
- pretend to be another person or company;
- post content that infringes the rights of others or is unlawful;
- read data from the platform by automated means or circumvent security and access restrictions;
- pass on information from a data room contrary to the confidentiality agreement accepted there.
8.4 Messages that suggest advance-fee fraud or a payment route outside the usual channels are flagged for review by a person. The message is neither held back nor changed.
9. Users' content
9.1 Users keep the rights in the content they post. They grant us the simple, royalty-free right to store and reproduce the content, to show it to other users within the visibility they chose and to adapt it technically for display, to the extent necessary to operate the platform. The right ends when the content is deleted, except where the content has already been passed on under a confidentiality agreement or in a message to other users.
9.2 We may remove or block content that breaches these Terms or the law. Section 6.6 applies accordingly.
10. AI-assisted features
10.1 Some features generate text with language models from OpenAI and Anthropic, for example summaries, translations and drafts. The results are a non-binding aid. They are not investment advice or a recommendation, and they can contain mistakes.
10.2 Documents from a startup's data room are sent to an AI provider only where the startup has expressly allowed this in its settings. The Privacy notice describes which data is sent.
11. Visibility of profile views
Startups see how often signed-in investors opened their profile. They see the names of those investors only where the investor has agreed to this in their settings. An investor may withdraw that agreement at any time with effect for the future.
12. Availability
We aim to run the platform without interruption. Where possible we announce maintenance in advance. We owe a particular level of availability only where it has been expressly agreed.
13. Liability
13.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, for fraudulently concealing a defect, and to the extent of any guarantee we have given.
13.2 For a slightly negligent breach of an essential contractual obligation, meaning an obligation whose performance makes the proper performance of the contract possible in the first place and on whose observance the user may regularly rely, our liability is limited to the damage typical for the contract and foreseeable.
13.3 Otherwise our liability for slight negligence is excluded.
13.4 These limits also apply in favour of our legal representatives and vicarious agents.
13.5 We are not liable for decisions users make on the basis of other users' information, in particular investment decisions, except where we are responsible for our own breach of duty under section 13.1 or 13.2.
14. Indemnity by businesses
Businesses indemnify us against third-party claims arising from a breach of these Terms or of third-party rights for which they are responsible, including the reasonable cost of legal defence.
15. Changes to these Terms
15.1 Changes to these Terms take effect only with the user's agreement. We announce changes in text form and on the platform at least four weeks before they are to take effect, and ask for agreement.
15.2 If a user does not agree, the contract continues on the existing terms. Either side may then terminate it in the ordinary way under section 6.
16. Transfer of the contract
16.1 We may transfer our rights and obligations under this contract to a company that is formed to operate CapitalReach or that takes over the operation of CapitalReach. We tell the user about the transfer and the new contracting party in text form at least four weeks in advance. The user may terminate the contract without notice until the transfer takes effect; we then refund any amount paid in advance pro rata.
16.2 The user may transfer rights under this contract only with our consent. Section 354a of the German Commercial Code (HGB) is unaffected.
17. Dispute resolution
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
18. Governing law, place of jurisdiction
18.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the state in which they have their habitual residence.
18.2 Where the user is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is our registered place of business. Exclusive statutory places of jurisdiction are unaffected.
19. Final provisions
If a provision of these Terms is invalid, the rest of the contract remains valid. The statutory provisions take the place of the invalid provision.
Questions about these Terms: capitalreach.vercel.app/contact. The provider is named in the Imprint.
